These Terms & Conditions (“Terms”) govern your access to and use of the Keypanda website and any related services provided by Key Panda Limited. By accessing this website or engaging with our services, you agree to comply with these Terms.

  • Security and compliance-related implementation support

All services are provided subject to separate agreements, project proposals, statements of work, invoices, or other commercial arrangements where applicable.

3. Website Use

  • communicating project requirements and changes clearly.

Delays caused by incomplete information, missing approvals, or restricted access may affect project timelines and delivery schedules.

6. Fees & Payments

Payment terms are defined separately within invoices, agreements, proposals, or statements of work.

Unless otherwise agreed:

  • invoices are payable within the stated payment period;
  • all fees are non-refundable;
  • taxes, duties, or transfer fees are the responsibility of the client where applicable.

Failure to complete payments may result in:

  • suspension of services;
  • delayed project delivery;
  • restricted support access;
  • termination of active work.

We reserve the right to charge interest on overdue payments where permitted by law.

7. Intellectual Property

Unless otherwise agreed in writing:

  • clients retain ownership of their business data, trademarks, and proprietary content;
  • Keypanda retains ownership of its methodologies, internal systems, reusable code libraries, frameworks, automation tools, templates, and development practices.

Ownership of final project deliverables may transfer to the client upon full payment completion.

We reserve the right to use generalized, non-confidential project experience and technical expertise for internal business development purposes.

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, commercially sensitive, technical, operational, or proprietary information shared during cooperation.

Confidential information shall not be disclosed to third parties unless:

  • required by law;
  • approved in writing by the disclosing party;
  • necessary for authorized subcontractors or service providers involved in project delivery.

Confidentiality obligations survive termination of services.

9. Third-Party Services & Platforms

Projects may involve external platforms, infrastructure providers, APIs, software vendors, or cloud environments operated by third parties.

Keypanda is not responsible for:

  • outages or downtime of third-party services;
  • API limitations or changes;
  • infrastructure failures outside our control;
  • pricing or policy changes imposed by third-party vendors;
  • interruptions caused by external providers.

Clients acknowledge that third-party services may impact overall system functionality and availability.

10. Security & Compliance

We implement commercially reasonable measures designed to support secure software development, infrastructure management, and operational reliability.

However, no digital infrastructure or internet-based environment can be guaranteed as completely secure.

Clients acknowledge the inherent cybersecurity and operational risks associated with:

  • cloud infrastructure;
  • third-party integrations;
  • internet connectivity;
  • software systems and data processing.

Unless explicitly agreed otherwise in writing, Keypanda does not provide legal, regulatory, or formal compliance certification services.

11. Support & Maintenance

Where applicable, support and maintenance services may include:

  • infrastructure monitoring;
  • issue resolution;
  • software updates;
  • technical troubleshooting;
  • optimization and operational improvements.

Response times, support scope, and availability are determined by separate service arrangements or support agreements.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Keypanda shall not be liable for:

  • indirect or consequential damages;
  • loss of profits, revenue, or business opportunities;
  • business interruption;
  • reputational damage;
  • loss or corruption of data;
  • unauthorized third-party access;
  • failures caused by third-party systems or infrastructure.

Our total aggregate liability related to any claim shall not exceed the total amount paid by the client for the applicable services during the preceding three (3) months.

13. Indemnification

Clients agree to indemnify and hold harmless Keypanda, its directors, employees, contractors, and affiliates from claims, damages, liabilities, or expenses arising from:

  • unlawful use of delivered solutions;
  • unauthorized use of third-party materials;
  • client-provided data or content;
  • violation of applicable laws or regulations.

14. Website Content & Branding

All website content, including but not limited to:

  • text,
  • graphics,
  • branding,
  • illustrations,
  • visual assets,
  • layouts,
  • source materials,
  • design elements,

are protected by applicable intellectual property and copyright laws.

Unauthorized copying, redistribution, modification, or commercial use is prohibited without prior written permission.

15. Service Availability

We do not guarantee uninterrupted availability of the website or services.
